The following is the first part of the Designer Council Charter.

III.  Organization

The Designers Council consists of an Executive Board, a Steering
Committee, and self-governing local chapters. The Designers Council
will be directed by the Executive Board, and the Designers Council
Steering Committee.  All chapter officers are eligible to serve on
the Council Steering Committee. The Executive Board shall be
selected from the Council Steering Committee.

A.   The Executive Board shall consist of at least fifteen (15),
     and not more than twenty (20) members, who are involved in
     design and related technologies. Only board members may vote
     on issues of Designers Council business..

B.   The Designers Council Executive Board will be directed by a
     chairman who will be elected by Roman Ballot (all eligible
     candidates) through majority vote of the Executive Board
     members.

     The chairman s term of office shall be two (2) years and any
     individual shall be limited to three consecutive terms.  For
     the two-year inception term, the chairman will be appointed by
     a special committee. The chairman shall appoint a vice-
     chairman to assist in the projects of the Executive Board.

C.   Membership on the Executive Board will be for three (3) years.
     One-third of the board shall rotate each year.  The past
     chairman of the Executive Board shall serve on the board in an
     ex-officio capacity for an additional two years in order to
     maintain continuity.

D.   At the end of each calendar year, a slate of prospective
     candidates to serve on the Executive Board will be developed
     by a nominating committee, appointed by the chairman and
     approved by a majority of the Executive Board members. The
     slate may include new candidates, replacement candidates, or
     multiple choice candidates, as suggested by the Steering
     Committee. Election to the Board will be by majority vote of
     the Steering Committee.

     The term of office for newly elected members, commences with
     the first meeting of the council, in the new calendar year. 

E.   Membership of the Designers Council Steering Committee shall
     consist of personnel on the Executive Board, senior officers
     of Designers Council local chapters and contributing
     technologists dedicated to promoting design principles.
     Membership on the Steering Committee is approved by the
     chairman of the Executive Board.  There is no time limit for
     Steering Committee membership, nor is there a limit to the
     number of members on the Committee.

     The Steering Committee is chaired by the vice-chairman of the
     Executive Board.  The Steering Committee is responsible for
     chapter coordination, council programming and the development
     of programs for consideration by the Executive Board.

F.   Trade associations, professional societies, etc. may
     participate in the Designers Council only via liaison with a
     Steering Committee member. With the chairman s approval,
     members of the Executive Board may invite non-voting
     representatives of any organization to attend Board meetings
     and to participate to level appropriate to the meeting.

G.   Government, education, and technical journal personnel may
     serve on the Executive Board in a non-voting and advisory
     capacity as determined by the Executive Board.
